Expressions of Interest Due: Close of Business, 3 June 2024

Community Learning Ltd, the governing body of Jabiru Community College, is seeking a Company Secretary who will work closely with our Chair and Executive Leadership Team, to assist in the smooth running and legal compliance of the Company.

The Company Secretary will be responsible for:

  • providing advice and support to the Board of Directors (The Board) on corporate governance matters;
  • maintaining accurate company records;
  • ensuring compliance with all relevant legislation and regulations;
  • administering all aspects of Board meetings; and
  • ensuring the Directors and Executive staff have the required access to relevant regulatory agencies and portals (e.g. ACNC, ASIC, ATO etc) that they need to fulfil their obligations.

The Board of Directors of Community Learning Ltd (The Board) meet approximately 8-10 times per year, with roughly half of the meetings taking place onsite at the College Campus in Zillmere, and the others via video conference.

Community Learning Ltd is the governing body for Jabiru Community College (JCC).  JCC is a Special Assistance School for young people in years 10 to 12, based in Zillmere, North Brisbane.

Company Details

Community Learning Ltd (CLL) is a charitable organisation, registered as a Public Benevolent Institution with the Australian Charities and Not-for-Profits Commission.  CLL’s ABN is 51 145 751 837.

The CLL Board is made up of 4 Directors.  Jabiru Community College is lead by an executive leadership team consisting of:

  • 2 x Co-Principals
  • Head of Curriculum
  • Head of Organisational Development

The company employs 32 staff in total (FTE 25.8) .

Company Secretary Duties

  • Advising the Board on good practice in corporate governance including giving guidance on the legal and ethical implications of the way the Board discharges its duties, runs meetings and makes decisions and providing specific advice and analysis for Board meetings, papers or other purposes as reasonably required.
  • Ensuring compliance with:
    • the provisions of the Constitution of Community Learning Ltd;
    • all obligations to regulatory authorities, including but not limited to ASIC, ATO, ACNC and the Queensland Non-State Schools Accreditation Board (NSSAB);
    • all relevant legislation, including but not limited to, Corporations Act 2001, Education (General Provisions) Act 2006, Work Health and Safety Act and Regulations 2011 and the Child Protection Act 1999.
    • your duties as an officer and as a company secretary under the Corporations Act, 2001.
  • Assisting with induction of any new directors, Committee members, or CEO and coordinating Board and CEO performance reviews.
  • Manage Board-level administration duties for CLL, including arranging meetings, taking minutes, resourcing directors.
  • To work as a member of a team and with our whole learning community to build a place that is safe and supportive for all members.
